Description of Joy Butler’s Selected Projects on Film and Television Industry Matters:

Film/Agent Agreements. Counseled producer in negotiation of producers representative agreement for marketing of independent film to theatrical market.

Film/Distribution. Negotiate and draft agreements for distribution of independent films in theatrical, non-theatrical, television, foreign television and dvd markets.

Film/Finance and Securities Law Compliance. Counseled film production company from initiation to successful completion of $400,000 private placement securities offering. Services included preparation of LLC organizational documents, private placement memorandum, and investor agreements.

Film/Guild Issues. Counseled producer on financial and distribution implications of casting independent film with members of the Screen Actors Guild (SAG). Determined producer’s eligibility for SAG’s low budget contracts.

Media/Spokesperson Agreement. Represented professional spokesperson in negotiation and drafting of talent and endorsement agreement with Fortune 500 retail industry company.

Television/Advertising. Reviewed television commercials for compliance with false advertising laws (i.e., Federal Trade Commission Act, FTC Guides Concerning the Use of Endorsements and Testimonials in Advertising).

Television/Original Programming. Represented independent producer in negotiation of First Look deal with major film studios’ television production arm. Served as production counsel for production of original programming under First Look deal including drafting of writers agreement, talent/crew agreements, and location agreements, acting as liaison with studio’s legal department, and addressing other production legal issues.

Television/Original Cable Television Series. Drafted all production agreements for independently produced direct-to-dvd production. Subsequently, represented production company in negotiation with cable network for an original television series based on the dvd.

Television/Rights Clearance. Reviewed cable television network documentary. Prepared opinion letter on adequacy of releases (e.g., location, personal, product appearance releases) and on producer’s ability to rely on copyright fair use for footage. Producer used opinion letter to obtain errors and omissions insurance coverage.
